Terms of Use & AI Disclosure

These Terms of Use (“Terms”) govern your access to and use of the websites, platforms, demonstration environments, and AI-assisted services provided by Tribeca Innovations LLC, doing business as ASAP AI (“ASAP AI,” “Tribeca Innovations,” “we,” “us,” or “our”).

By accessing or using our services, you acknowledge that you have read, understood, and agreed to these Terms.

 

1. Services Overview

ASAP AI is a brand and trade name of Tribeca Innovations LLC.
We provide business consulting services and AI-assisted tools designed to support operational efficiency, customer engagement, and decision-making.

Our services may include, without limitation:

  • AI-powered or automated agents (“AI employees/ teams/ departments”)

  • Voice and messaging demonstrations

  • Client testing and sandbox environments (“Labs”)

  • Advisory, implementation, and support services

 

2. AI-Assisted Functionality

Our services incorporate artificial intelligence and automated systems.

You acknowledge and agree that:

  • AI-generated outputs are probabilistic in nature

  • Outputs may be incomplete, inaccurate, or outdated

  • AI tools do not replace human judgment or professional expertise
     

No Professional Advice

The services do not constitute legal, medical, financial, or regulatory advice.
You remain solely responsible for reviewing, verifying, and relying upon any AI-generated outputs or insights.

 

3. Demo and Testing Environments (Lab Use)

Certain services, including those available at lab.asapai.ai, are provided solely for demonstration, evaluation, or testing purposes.

When using Labs:

  • Features may be experimental, simulated, or limited

  • Data may be modified, reset, or deleted without notice

  • No service-level, availability, or performance guarantees are provided

Users should not submit sensitive, confidential, or regulated personal data into demo or testing environments.

 

4. User Responsibilities

You agree to:

  • Use the services in compliance with applicable laws and regulations

  • Ensure you have the legal right and authorization to submit any data

  • Avoid misuse, abuse, impersonation, or unauthorized access

  • Refrain from attempting to reverse-engineer or interfere with the platform

You are responsible for all activities conducted through your use of the services.

 

5. Intellectual Property

  • Tribeca Innovations LLC retains all rights, title, and interest in its platforms, systems, workflows, prompts, designs, and proprietary materials.

  • You retain ownership of your own data, content, and brand assets.

  • AI-generated outputs are made available for your use; no exclusivity or ownership rights are granted unless expressly agreed in writing.

 

6. Third-Party Services

Our services rely on third-party infrastructure, cloud services, AI technologies, and communications platforms.

Tribeca Innovations LLC is not responsible for interruptions, failures, or limitations caused by such third-party services.

 

7. No Warranties

The services are provided on an “as is” and “as available” basis.
We make no warranties regarding accuracy, availability, fitness for a particular purpose, or business outcomes.

 

8. Limitation of Liability

To the maximum extent permitted by law:

  • Tribeca Innovations LLC shall not be liable for any indirect, incidental, special, or consequential damages

  • Our total liability shall not exceed the fees paid to Tribeca Innovations LLC in the twelve (12) months preceding the event giving rise to the claim

 

9. Termination and Contractual Commitments

You may discontinue use of the services at any time.

However, any payment obligations, minimum terms, or commitments under a separate written agreement, statement of work, or client contract shall remain governed by those documents and shall survive discontinuation of use.

 

10. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles.

These Terms apply globally to all users, regardless of geographic location.

 

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the services constitutes acceptance of the updated Terms.
